PAYMENT TERMS & CONDITIONS

Customer agrees to the following:

  1. PAYMENT TERMS Payment is due thirty (30) days after date of SciKon's invoice. SciKon will invoice for purchase price, any applicable taxes, duties and tariffs, shipping, handling and/or insurance charges. Any payment not made within the thirty (30) day period will be subject to a re-occurring monthly interest charge of 1.5%, of the overdue payments. In addition, if any cancellation causes any expenses to be incurred by SciKon, a cancellation charge covering these expenses will be charged to the Customer.

  2. SHIPMENT AND ACCEPTANCE Orders are shipped via SciKon's recommended carriers. Customer must inspect all aspects of the shipment and notify SciKon, in writing, within five (5) days after receipt of goods if product is defective. SciKon will work with the customer to replace or refund payment (excluding shipping and handling) for the item.

  3. SCOPE OF USE Customer agrees that its use of material has a demonstrated scientific, medical, research, or educational purpose. Customer agrees not to use material for clinical applications. Customer assumes all risk and responsibility in connection with the receipt, use, storage, handling, transfer, or other disposal of any material. Customer shall hold SciKon harmless against any claims, actions, suits, damages, losses and expenses that arise out of or relates to any receipt, use, storage, handling, transfer or other disposal of any material provided hereunder.

  4. NO WARRANTIES Customer acknowledges that products are being supplied without any warranties of any kind, express or implied, and SciKon disclaims any and all warranties.

  5. LIMITATION OF LIABILITY In no event shall SciKon be liable for any indirect, incidental, special or consequential damages including loss of income or profits related to any SciKon product.

  6. ACKNOWLEDGEMENT Customer agrees to acknowledge SciKon Innovation, Inc. as the source of any material shipped hereunder in all publications or patent applications that reference or arise out of SciKon's material.

  7. PRODUCTS ARE FOR RESEARCH ONLY. NOT TO BE USED FOR CLINICAL APPLICATION
